1. Acceptance of these Terms
These Terms of Service ("Terms") govern your access to and use of the Domas & Co. website, mobile experience, and related services (the "Service"), operated by Vaglica Group LLC, a New York limited liability company ("Domas," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
2. What Domas Is
Domas is a membership platform that connects members with independent, third-party contractors for home services. Domas is not a contractor, does not perform home-service work itself, and is not a party to the agreement between a member and the contractor who completes a job. Domas facilitates the request, matching, communication, and payment for that work.
Contractors are independent businesses, not Domas employees or agents. Domas takes reasonable steps to vet vendors (see Section 8) but does not guarantee the quality, safety, legality, or outcome of any job.
3. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You're responsible for the accuracy of the information on your account and for all activity under it. Notify us immediately at [email protected] if you suspect unauthorized access.
4. Membership and Fees
Access to certain features requires an active membership. The membership price and billing frequency are disclosed to you, separately from these Terms, before your first charge - your membership automatically renews and you are charged that amount every month until you cancel. You can cancel at any time from Account Settings; cancelling stops future renewals but does not refund the current billing period. Job fees are disclosed before you're charged. Fees are billed through our payment processor, Stripe; by adding a payment method you authorize Domas to charge it for membership fees, job costs, and any other charges you approve.
5. Requesting and Completing Jobs
When you submit a job request, an automated system - including a third-party AI model - reviews the free-text description you provide to categorize the job and help route it to a matched vendor. A human reviews flagged or unusual requests. You should not include sensitive information (financial account numbers, government ID numbers, health information) in a job description.
6. Payments, Charges, and Disputes
Job charges are processed via Stripe. When a job is marked complete, the charge is authorized on your card and held for 48 hours before it is captured and released to the assigned vendor, so you have a window to flag a problem. If you report a problem during that window, the payment stays on hold until the issue is resolved. To dispute a charge, open the job in Requests and use "Report a problem" - we aim to respond within 48 hours. Claims for property damage caused by a vendor must be filed within 7 days of the charge; eligible damage claims are covered under the Domas damage guarantee up to $1,000. Disputes filed after a charge has released are handled case by case and may not be fully reversible.
Initiating a chargeback with your card issuer instead of using Domas's dispute process may result in suspension of your account while the chargeback is investigated.
7. Cancellations and Refunds
You may cancel a job request before a vendor is assigned at no charge. Cancelling after assignment may incur a fee to cover the vendor's reserved time, disclosed to you before you confirm the cancellation. Membership fees are billed as disclosed at signup; see your Account page for current cancellation terms on recurring membership charges.
8. Vendor Vetting - No Guarantee
Domas requires vendors to submit trade credentials, including proof of insurance and, where applicable, licensing, and monitors those credentials for expiration. This vetting is a screening step, not a certification, warranty, or guarantee of a vendor's work, and Domas is not liable for a vendor's acts or omissions except as required by law.
9. Text Messaging (SMS)
By providing your phone number and opting in, you agree to receive transactional text messages from Domas (job status, scheduling, dispute updates, and security alerts). Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for help. Consent to receive texts is not a condition of using the Service, except where a message is required to deliver a job update you've requested.
10. Prohibited Conduct
You agree not to: circumvent Domas to pay a matched vendor directly for the purpose of avoiding fees; submit false, abusive, or fraudulent job requests or disputes; harass a vendor or another member; attempt to access another account or Domas's internal systems without authorization; or use the Service in violation of applicable law.
11. Intellectual Property
The Domas name, logo, and the Service's software, design, and content are owned by Domas or its licensors and protected by intellectual property law. You're granted a limited, non-transferable license to use the Service for its intended purpose - nothing here transfers ownership of that property to you.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DOMAS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY VENDOR'S WORK WILL MEET YOUR EXPECTATIONS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOMAS'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID DOMAS IN THE 12 MONTHS BEFORE THE CLAIM AROSE. DOMAS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM A VENDOR'S WORK, TO THE EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (INCLUDING, WHERE APPLICABLE, LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT).
14. Indemnification
You agree to indemnify and hold Domas harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Service, except to the extent caused by Domas's own negligence or misconduct.
15. Dispute Resolution - Arbitration and Class Action Waiver
Except for small-claims-court-eligible disputes or claims for injunctive relief to protect intellectual property, you and Domas agree to resolve any dispute arising from these Terms or the Service through binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in New York County, New York, rather than in court, and you waive any right to a jury trial or to participate in a class, collective, or representative action.
16. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules, except where the Federal Arbitration Act applies to Section 15.
17. Termination
You may close your account at any time from your Account page. Domas may suspend or terminate access for violation of these Terms, fraud or abuse, or non-payment. Sections that by their nature should survive termination (including Payments owed, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) survive.
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified in-app or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
